Terms of Service
These Terms of Service ("Terms") govern your access to, usage of all content, products, and services available at this website (the "Service") operated by Bright Electrical LLC ("us", "we", or "our"). Your access to our services is subject to your acceptance, without modification, of all of the terms and conditions contained herein.
1. Electrical Services and Scheduling
Scope of Services: We agree to provide electrical contracting services as detailed in a separate Statement of Work (SOW). The SOW defines project scope, deliverables, timelines, required materials, and permit or inspection responsibilities when applicable.
Timelines: Project timelines may vary based on complexity, permit approvals, utility coordination, material availability, and site access. Specific milestones are outlined in the SOW.
2. Payment Terms
Client agrees to pay for services as outlined in the SOW. Payments are due according to the agreed invoice schedule. Any third-party costs (e.g., permit fees, utility charges, specialty equipment, manufacturer parts, or inspections) remain the client responsibility unless otherwise stated in writing. Late payment may result in service delays or suspension.
3. Materials, Work Product, and Equipment
Service documentation, wiring plans, technical recommendations, and related work product developed by Bright Electrical LLC remain our intellectual property until full payment is received. Upon payment, the client may use final deliverables for their property operations. Client-provided materials (e.g., logos, branding, proprietary content) remain the property of the Client, and the Client warrants they have the full legal right to use such materials in the provided materials.
4. Client Access and Site Readiness
The Client agrees to provide all necessary access to information, data, and personnel required for us to perform the services. This includes timely access to electrical panels, service rooms, utility areas, and relevant property information. Delays in approvals, access, or required details may impact project timelines.
5. Confidentiality and Property Information
Both parties agree to keep all non-public information, including property details, service records, pricing, and customer information, strictly confidential. This obligation of confidentiality shall survive the termination of any service agreement.
6. Termination
Either party may terminate the agreement with 30 days written notice, unless a specialized contract duration is stipulated in the SOW. Bright Electrical LLC may terminate or suspend your access to all or any part of our Services immediately in cases of non-payment or a material breach of these terms. Upon termination, the client is responsible for all fees accrued up to the termination date.
7. Warranty and Service Limitations
Our Services are provided "AS IS" and "AS AVAILABLE". Bright Electrical LLC disclaims all warranties of any kind, express or implied. We do not guarantee specific outcomes where conditions are outside our direct control, including concealed wiring defects, utility outages, weather events, or third-party delays.
8. Limitation of Liability
In no event will Bright Electrical LLC, its suppliers, or licensors be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; or (iii) for interruption of use or losses resulting from third-party utility, supplier, or manufacturer issues. Our total liability shall not exceed the amount paid by the Client to us in the three (3) months prior to the claim.
9. Jurisdiction and Applicable Law
Except to the extent any applicable law provides otherwise, the Agreement and any access to or use of our Services will be governed by the laws of the jurisdiction where Bright Electrical LLC is registered.
